1.             HOW TO ENTER. The SOYJOY® #TravelJOY Sweepstakes (“Sweepstakes”) begins at or around 10:00 a.m. Pacific Time (“PT”) on Wednesday, November 16, 2011 when Sponsor makes a Tweet inviting eligible individuals to enter this Sweepstakes using the SOYJOY [BRAND NAME] account page on Twitter.com (the Web Site”) and ends at 6:00 p.m. PT on Thursday, November 17, 2011 (“Sweepstakes Period”).

The winners, subject to verification and compliance with these official rules, will be selected in a random drawing from among eligible Entry Tweets (defined below) actually received by Sponsor as set forth in detail below.

To enter the Sweepstakes, visit the Twitter account page under the name SOYJOYUS on the Web Site (www.twitter.com) and follow the instructions in the Tweet messages for this Sweepstakes posted there during the Sweepstakes Period that invite you to Tweet for a chance to win.  There will be three (3) invitation Tweets each containing a separate trivia question posted over the Sweepstakes Period.  Each invitation Tweet will be a separate chance to win.  Follow the instructions in Sponsor’s invitation Tweet messages, which will each direct you to post a Tweet on your Twitter account that includes the following language:  “#TravelJoy, along with the correct answer to that trivia question (“Entry Tweet”).  Only Tweets containing the correct answer to the trivia question will count as an Entry Tweet.  Your Entry Tweet must be a targeted reply to Sponsor’s Twitter account “@SOYJOYUS” using Twitter’s “@Reply” function. Your Entry Tweet will appear on your Twitter feed. Entry Tweets must be received and identifiable by Sponsor during the Sweepstakes Period.  Entrants may submit Entry Tweets for one, two, or all three invitation Tweets, with a maximum of three Entries (one for each invitation Tweet) per entrant.  Sponsor, at its sole discretion, may accept or disqualify an Entry Tweet that contains either a technically incorrect required unique term or content in addition to the required content.  Entry Tweets that are not both actually visible and received by Sponsor will not be entered into Sweepstakes.  For purposes of this Sweepstakes, an Entry Tweet is “received” when the Twitter Web Site records your Entry Tweet and it is visible to Sponsor and appears in Sponsor’s @Reply inbox.  Proof of sending a tweet (such as, without limitation, a printed, saved or copied computer receipt, message or screen) does not constitute proof of Sponsor’s actual receipt of an Entry Tweet for purposes of this Sweepstakes. The Web Site’s database clock will be the official timekeeper for this Sweepstakes.  Incorrect and/or incomplete Tweets and Tweets received outside the applicable Sweepstakes Period, and/or Tweets that contain obscene, offensive, or any language communicating messages inconsistent with the positive images to which Sponsor wishes to associate (all as determined by Sponsor in its sole discretion) will be void. All Tweets must comply with the Twitter Terms of Service and Twitter Rules available at www.twitter.com.

By participating in the Sweepstakes, each entrant unconditionally accepts and agrees to comply with and abide by these Official Rules and the decisions of Sponsor, including the interpretation of these Official Rules, which will be final and binding in all respects. Sponsor may not be able to view Entry Tweets, receive or send direct messages, or otherwise receive entries or detect participation from Twitter users with “protected” updates (i.e., user has set their account so that only people the user has approved can view their updates) due to the way Twitter operates its service.  Sponsor may not be able to communicate with a participant via some of the Web Site features if participant does not “follow” Sponsor’s account on the Web Site.  Each participant may discontinue following Sponsor or having a Twitter account at any time, but doing so may mean that Sponsor cannot receive or provide communications for purposes of administering this Sweepstakes, which could result in participant being disqualified or ineligible to win a prize.  It is each participant's responsibility to set his or her account settings to accept contacts by Sponsor and to timely check his or her Twitter account for any such direct messages or @Replies.  Sponsor is not responsible for changes to the Web Site or its functionality that may interfere with the Sweepstakes or ability of a participant to timely enter or otherwise participate at all, including, without limitation, with respect to Twitter’s @Reply or direct message function. Sponsor is not responsible for misspellings, typographical errors, or other issues that may affect an Entry Tweet from being located using a search to find eligible entries.

NOTE ABOUT MOBILE: If you opt to receive Sponsor’s Tweets and messages, including any prize notification or other sweepstakes-related Tweets, via your wireless mobile device (which service may only be available via select devices and participating wireless carriers and is not required to enter), you will be charged for standard text messaging sent and received from your mobile device according to the terms in your wireless service provider’s calling or data plan.  Normal airtime and carrier charges and other charges may apply to text messages and will be billed on your wireless phone bill or deducted from your pre-paid balance.  Each wireless carrier’s rate plan may vary, and you should contact your wireless carrier for information on messaging rate plans and charges relating to your participation in this Sweepstakes.  Participation in this Sweepstakes via mobile means that you understand and agree that you may receive additional text messages from Sponsor relating to this Sweepstakes, including to notify you if you are a potential winner in the Sweepstakes or to award a prize if you are a winner, which will be subject to the charges pursuant to your carrier’s rate plan.  Text messaging may not be available from all mobile phone service carriers and handset models.  Cell phone service may not be available in all areas. Entering the Sweepstakes is free.  Normal Internet access and usage charges imposed by your Internet Service Provider may apply.  Limit of one (1) entry per invitation Tweet may be obtained per person and per e-mail address and Twitter account during the Sweepstakes Period. 

Subsequent attempts made by the same individual to submit more than one (1) Entry Tweet for each invitation Tweet, including, without limitation, by using multiple or false contact information or multiple Twitter accounts, may be disqualified in Sponsor’s sole discretion.  In the event of a dispute concerning who submitted an Entry Tweet, the Entry Tweet will be declared to have been made by the registered account holder of the e-mail address associated with the Twitter account for the potentially winning Entry Tweet, but only if that person meets all other eligibility criteria. A registered account holder is defined as the natural person who is assigned to an e-mail address by an Internet access provider, online service provider, or other organization (e.g., business, educational institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address.  Potential winner may be required to provide Sponsor with proof that he/she is the registered account holder for the e-mail address associated with the Twitter account for the potentially winning Entry Tweet. If a dispute cannot be resolved to Sponsor’s satisfaction, in its sole discretion, the Entry Tweet will be deemed ineligible.  Any damage made to the Twitter service will be the responsibility of the registered account holder of the e-mail address for the Twitter account submitted at the time of entry. If for any reason an Entry Tweet is received other than during the Sweepstakes Period, it will not result in an entry for the Sweepstakes. Entrants who do not abide by these Official Rules, follow the instructions on the Web Site or from Sponsor or its representatives, or submit all of the required information for entry will be disqualified. Entries will not be acknowledged or returned and, in fact, may be destroyed. Entries that are in excess of the stated limits, incomplete, illegible, corrupted, damaged, destroyed, forged, altered, false, lost, late, misdirected, garbled, generated by a macro, bot, or other automated means, deceptive or otherwise not in compliance with the Official Rules will not be accepted and will be void. Entries made by any other individual or any entity, and/or originating at any other web site or e-mail address, including, without limitation, commercial sweepstakes subscription notification and/or entering service sites, will be declared invalid and disqualified for this Sweepstakes.  Sponsor reserves the right to restrict registrations and/or entries from any IP address if a suspicious registration and/or entry is detected or suspected, as determined by Sponsor, in its sole discretion.  As a condition of entering the Sweepstakes, each entrant gives consent for Sponsor to obtain and deliver his or her name, address and other information to third parties for the purpose of administering this Sweepstakes and complying with applicable laws, regulations and rules.  Only entries submitted in strict accordance with these Official Rules will be accepted.  No faxed, emailed or entries will be accepted. 

2.              ELIGIBILITY: The Sweepstakes is open only to legal residents of any one (1) of the fifty (50) United States or the District of Columbia and who are at least the age of majority in their jurisdiction of primary residence and who are registered users of Twitter in good standing on the date of entry in this Sweepstakes. Employees, members, managers, officers and directors of the Sponsor, its parent, division, affiliates, subsidiaries, prize providers, advertising agencies or promotional partners associated with this Sweepstakes, and relatives of and those living in the same household as such employees are not eligible to enter or win a prize. For the purpose of this Sweepstakes, relatives are defined as spouse, domestic partner, mother, father, legal guardian, in-laws, grandmother, grandfather, brother, sister, children and grandchildren. This Sweepstakes is void in all U.S. territories (including Puerto Rico), possessions and overseas military installations and where prohibited by law. 

3.              SELECTION OF WINNERS:

Three (3) potential winners will be selected in a random drawing from among all eligible Entry Tweets, to be held on or about 11/17/2011. Drawing will be conducted by Sponsor’s designated representative, whose decisions will be final.

Approximately three (3) days after the end of the Sweepstakes Period, each potential winner will be notified that he or she may have won the respective prize in this Sweepstakes (subject to Sponsor’s verification procedures) by using the direct message feature on Twitter for the user account that posted the potentially winning Entry Tweet. If potential winner is not a follower of Sponsor, then potential winner will have to set their potentially winning Twitter account to follow Sponsor (so that Sponsor will be able to send a private direct message via Twitter) within the time stated in the notice of Sponsor’s submission of an @Reply to the potential winner or else Sponsor may disqualify that potential winner’s entry.  Potential winner may discontinue following Sponsor after the completion of the eligibility verification and prize fulfillment procedures. It is each potential winner’s responsibility to set his or her account settings to accept contacts by Sponsor and to timely check his or her Twitter account for any such direct messages or @Replies.  Sponsor is not responsible for potential winner’s inability to receive a direct message or other communication from Sponsor. If potential winner does not respond according to the instructions contained in the notification within 24 hours of when Sponsor sent the notification (or other time specified in the notification), prize may be forfeited and an alternate winner selected in Sponsor’s sole discretion.  Each prize will only be mailed to winner’s physical mailing address (no P.O. Boxes) in one (1) of the fifty (50) United States or the District of Columbia in Sponsor’s sole discretion.  Winner may be required to complete, sign, have notarized and return an affidavit of eligibility and liability/publicity release, at Sponsor’s sole discretion (unless prohibited by law), as well as tax forms, without alteration and within the time frame specified by Sponsor or its agent, any or all of which may require the winner to provide his or her Social Security Number and a copy of a government-issued identification or number thereof.  In the event of noncompliance with these requirements, the prize may be forfeited. The affidavit of eligibility, liability/publicity release and tax forms are subject to verification by Sponsor. If any prize, prize notification or Sweepstakes-related communication is rejected, faulty or returned as undeliverable, or if a winner cannot be reached after a reasonable attempt has been made by Sponsor (as determined by Sponsor in its sole discretion), that winner may be disqualified and an alternate winner may be selected (time permitting) based on the original method of winner selection.  Sponsor reserves the right to modify the notification procedures in connection with the selection of any alternate potential winner, if any.  Sponsor is not obligated to pursue more than three (3) alternate winners for any reason, in which case the prizes may go unawarded.  Sponsor is not responsible for and is not liable for late, lost, damaged, intercepted, garbled, misdirected or unsuccessful efforts to notify the potential winners.  Upon prize forfeiture, no compensation will be given and Sponsor will have no responsibility or liability to that entrant. 

4.              PRIZES, APPROXIMATE RETAIL VALUE (“ARV”) AND ODDS:

PRIZE(S): Three (3) winners, subject to verification, will each receive one of the following:

Which winner receives which prize will be determined by random drawing. 

The total ARV of all prizes in this Sweepstakes is $379.  Odds of winning a prize depend on the number of eligible Entry Tweets submitted by entrant and the total number of eligible Entry Tweets received by Sponsor during the Sweepstakes Period Please allow approximately two (2) weeks  from winner verification for prize delivery.

If legitimately claimed, the prizes will be awarded.  All federal, state and local taxes, as well as any expenses not specified in these Official Rules as being provided as part of the prizes, are the sole responsibility of the winner.  All prize details not specified in these Official Rules will be determined in Sponsor’s sole discretion.  Sponsor is not responsible for and winner will not receive the difference, if any, between the actual value of the prizes at the time of award and the stated ARV in these Official Rules or in any Sweepstakes-related correspondence or materials.  Sponsor will not replace any lost, mutilated or stolen prizes or prize element or any prize that is undeliverable or does not reach the winner because of any incorrect or changed contact information.  If winner does not accept or use the entire prize, the unaccepted or unused part of the prize will be forfeited and Sponsor will have no further obligation with respect to that prize or portion of the prize.  Sponsor is not responsible for any inability of winner to accept or use the prize (or portion thereof) for any reason.  No transfers, prize substitutions or cash redemptions will be made, except at Sponsor’s sole discretion. Sponsor reserves the right to substitute the stated prize or portion thereof with another prize or portion thereof of equal or greater value for any reason, including, without limitation, prize unavailability. No more than the stated prizes will be awarded.

5.              LIMITATION OF LIABILITY: EACH ENTRANT agreeS TO RELEASE, HOLD HARMLESS AND INDEMNIFY Sponsor, TWITTER, each of THEIR RESPECTIVE parent companies, divisions, subsidiaries, affiliates, PRIZE PROVIDERS, advertising, promotion and public relations agencies, and the respective officers, directors, MEMBERS, MANAGERS, employees, representatives and agenTs of each (collectively, THE “Sweepstakes Entities”) FOR ANY liability whatsoever for injuries or damages of any kind sustained in connection with the acceptance, possession, USE, MISUSE or awarding of THE prizeS, while preparing for, participating in and/or traveling to or from any prize- OR SWEEPSTAKES-related activity, including, without limitation, any injury, damage, death, loss, OR accident to person or property.  WINNER AGREES THAT THe PRIZE IS PROVIDED AS-IS WITHOUT ANY warranty, representation or guarantee, express or implied, in fact or in law, WHETHER NOW KNOWN OR HEREINAFTER ENACTED, relative to the use or enjoyment of the prize, including, without limitation, ITS quality, merchantability or fitness for a particular purpose.

7.              GENERAL RULES: By entering the Sweepstakes (except where prohibited by law), each entrant consents to the use of his or her name, picture, likeness, voice, biographical data and/or any information contained in his or entry information in advertising, promotion and marketing materials throughout the world, including on the Internet and/or on the Web Site, by the Sponsor, its promotional partners and third-party marketing entities, in their sole discretion, without additional compensation, notice, review, or approval and each entrant releases all Sweepstakes Entities from any and all liability related thereto. IF SUCH AN ATTEMPT IS MADE, SPONSOR MAY DISQUALIFY ANY ENTRANT MAKING SUCH ATTEMPT AND MAY SEEK DAMAGES TO THE FULLEST EXTENT PERMITTED BY LAW.

8.              RESOLUTION OF Disputes/Governing Law.  All disputes between an entrant and a Sweepstakes Entity in connection with this Sweepstakes must be governed by, and construed in accordance with, the laws of the State of California, without giving effect to any principles of conflicts of law.  Any and all disputes and claims relating to this Sweepstakes must be resolved by submission to arbitration under the Commercial Arbitration Rules of the American Arbitration Association and by entering the Sweepstakes, all entrants expressly waive the right to trial by jury.  The arbitration must be conducted in Los Angeles County, California, in the English language by three arbitrators appointed in accordance with the Commercial Arbitration Rules.  Each party agrees to and will pay one-half of the costs of the arbitration, and entrants are responsible for their own attorney's fees.  Judgment on the award rendered by the arbitrators may be entered in any court having jurisdiction thereof. Any provision of applicable law notwithstanding, the arbitrators will not have authority to award punitive or exemplary damages.  The dispute and claims and arbitration proceedings must at all times be kept confidential except to the extent necessary to enforce or collect the arbitration award or except as the parties agree in writing.  Each entrant agrees that any action at law or in equity relating to the arbitration provision of these Official Rules must be filed only in the state or federal courts located in Los Angeles County, California, and hereby consents and submits to the personal jurisdiction of such courts for the purposes of litigating any such action.  If any provision of these Official Rules is deemed unlawful, void, or for any reason unenforceable, then that provision must be deemed severable from these Official Rules and must not affect the validity and enforceability of any remaining provisions. Sponsor’s failure to insist upon or enforce strict performance of any provision of these Official Rules must not be construed as a waiver of any provision or right. No waiver of any term or condition of these Official Rules will be deemed a further or continuing waiver of such term or condition or any other term or condition. 

BY PARTICIPATING IN THE PROMOTION, EACH ENTRANT AGREES THAT TO THE EXTENT PERMITTED BY APPLICABLE LAW: (1) ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THE PROMOTION, OR ANY PRIZE AWARDED, WILL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION; (2) ANY AND ALL CLAIMS, JUDGMENTS AND AWARDS WILL BE LIMITED TO ACTUAL THIRD-PARTY, OUT-OF-POCKET COSTS INCURRED, (IF ANY), NOT TO EXCEED TEN DOLLARS ($10.00), BUT IN NO EVENT WILL ATTORNEYS’ FEES BE AWARDED OR RECOVERABLE; (3) UNDER NO CIRCUMSTANCES WILL ANY ENTRANT BE PERMITTED TO OBTAIN ANY AWARD FOR, AND ENTRANT HEREBY KNOWINGLY AND EXPRESSLY WAIVE ALL RIGHTS TO SEEK, PUNITIVE, INCIDENTAL, CONSEQUENTIAL OR SPECIAL DAMAGES, LOST PROFITS AND/OR ANY OTHER DAMAGES, OTHER THAN ACTUAL OUT-OF-POCKET EXPENSES NOT TO EXCEED TEN DOLLARS ($10.00), AND/OR ANY RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED; AND (4) ENTRANTS’ REMEDIES ARE LIMITED TO A CLAIM FOR MONEY DAMAGES (IF ANY) AND ENTRANT IRREVOCABLY WAIVES ANY RIGHT TO SEEK INJUNCTIVE OR EQUITABLE RELIEF.  SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO ALL ENTRANTS.

9.              WINNERS’ LIST/OFFICIAL RULES. To find out who won, check the Web Site approximately thirty (30) days after the end of the Sweepstakes Period (winner information may be posted on the Web Site in Sponsor’s sole discretion) or send your request and a legal-size, self-addressed, stamped envelope for receipt by Sponsor no later than three (3) months following the end of the Sweepstakes Period to: Porter Novelli, ATTN: Lyn Famiglietti, 1909 K Street NW Suite 400, Washington, DC 20006. For a copy of these Official Rules, print out these pages or send a legal-size, self-addressed, stamped envelope for receipt by Sponsor prior to the end of the Sweepstakes Period to: Porter Novelli, ATTN: Lyn Famiglietti, 1909 K Street NW Suite 400, Washington, DC 20006.  Only one (1) request of either type per outer envelope, mailed separately, will be fulfilled.  Vermont residents can omit return postage for Official Rules requests.
